License

This Digital Template License Agreement (the "Agreement") is a legal agreement between you ("Licensee" or "You") and EZFILEPRO, LLC ("Licensor," "we," or "us") governing your use of the EZTemplatePro template file or files (the "Template" or "Templates") supplied with your purchase. By downloading, installing, or using the Templates, You accept and agree to be bound by this Agreement.

1. Definitions

1.1 "Template" means any EZTemplatePro Photoshop design template file licensed to You, including its layers, guides, masks, outlines, embedded assets, and accompanying documentation.

1.2 "Order" means the transaction record issued at the time of purchase, which identifies the Templates and the number of seats licensed to You.

1.3 "Seat" means an authorization for one (1) individual person to use the Templates under this Agreement.

1.4 "Finished Design" means an exported, production-ready artwork file created using a Template and prepared for delivery to a print or production provider, which does not contain or permit extraction of the underlying editable Template, its layers, guides, masks, outlines, or proprietary assets.

2. Grant of License

2.1 Subject to Your compliance with this Agreement, Licensor grants You a non-exclusive, non-transferable, worldwide, per-seat license to use the Templates identified in Your Order, limited to the number of seats purchased.

2.2 The rights granted are identical across all purchase tiers. The tier determines only which Templates are licensed to You:

2.3 Your Order is Your proof of license.

3. License Scope and Authorized Use

3.1 The Templates are licensed on a per-seat basis to You, the individual or business identified in the Order. A Seat authorizes use of the Templates by one (1) individual person. The number of Seats licensed to You is the number purchased in Your Order. Unless Your Order specifies a greater number, Your purchase includes one (1) Seat. Additional Seats may be purchased separately.

3.2 Only the individual Seat holders authorized by You, up to the number of Seats purchased, may access, open, edit, or use the Templates, and only for Your authorized purposes. Where You are a business, each individual who uses the Templates must occupy one of Your licensed Seats. Each additional individual requires an additional Seat.

3.3 The license is personal to You and non-transferable. Seats may not be shared, pooled, sublicensed, lent, or reassigned to any person or business outside Your organization. Any separate individual or business that wishes to use the Templates must obtain its own license and Seats.

3.4 The Templates must at all times remain within Your sole possession and control and that of Your authorized Seat holders. You may not provide, transmit, expose, upload, or make the Templates available — in whole or in part, modified or unmodified — to any person, device, system, or location outside Your licensed Seats. You may install the Templates only on devices You or Your authorized Seat holders own or control, and You may retain backup copies solely for authorized use.

3.5 Any use of the Templates exceeding the number of Seats purchased, or by any person who is not an authorized Seat holder, constitutes a material breach of this Agreement and infringement of Licensor's copyright. Licensor may require reasonable evidence of Seat compliance.

4. Permitted Commercial Uses

Within the scope of Your licensed Seats, You may:

4.1 Use the Templates to create phone-case designs;

4.2 Produce, print, sell, and distribute the Finished Designs and the physical cases made from them in unlimited quantities, worldwide, through any store, marketplace, or production provider, including cases produced for Your clients;

4.3 Submit Your Finished Designs to any print or production provider; and

4.4 Use independently created or lawfully obtained AI-generated artwork within a Template to produce a Finished Design.

5. Restrictions

You may not:

5.1 Resell, sublicense, lease, share, give away, or otherwise redistribute the Templates, in whole or in part, whether modified or unmodified, including transferring a Template file to a client. You may deliver only the Finished Design, never the Template itself;

5.2 Publish or upload the Templates to any file-sharing service, template marketplace, public repository, or storage location accessible outside Your authorized Seats;

5.3 Distribute or present the Templates' guides, instructions, camera placeholders, device outlines, masks, branding, embedded assets, or other Template components as standalone assets or as Your own template materials;

5.4 Upload, disclose, submit, or use the Template itself — or its layers, masks, guides, dimensions, outlines, embedded assets, or structural arrangement — as training data, reference input, system input, or source material for any artificial-intelligence or machine-learning system intended to extract, reproduce, reverse engineer, or create substitute or competing template products; or

5.5 Claim authorship of the Templates or remove, alter, or obscure any copyright or proprietary notice embedded in or accompanying the Templates.

6. Customer Content

You are solely responsible for all artwork, text, photographs, trademarks, logos, and other materials You place into a Template. You represent that You have all rights and permissions necessary to use, reproduce, distribute, print, and sell that content. Licensor does not review, approve, or assume responsibility for Your content or the products You create from it.

7. Intellectual Property and Ownership

7.1 The Templates are licensed, not sold. All right, title, and interest in and to the Templates, including all intellectual-property rights, remain the exclusive property of EZFILEPRO, LLC. This Agreement transfers no ownership of the Templates to You.

7.2 As between You and Licensor, You retain ownership of the original artwork and other content You contribute to a Finished Design. Subject to this Agreement, You may commercially use and distribute properly exported Finished Designs. Licensor retains ownership of the Templates and all proprietary Template elements, including any such elements that remain visible or embedded in a Finished Design. No ownership in those elements transfers to You.

8. Product Scope, Updates, and Third-Party Services

8.1 A license covers only the Templates identified in Your Order or included in the purchased collection at the time of purchase. Unless expressly stated in the applicable product listing, Your purchase does not include future phone models, newly released Templates, expanded collections, upgrades, or ongoing subscription access. Licensor may provide corrections or updates at its discretion.

8.2 Third-party names, trademarks, platforms, software, and services are the property of their respective owners. References to third-party providers or products are for compatibility and identification purposes only and do not imply sponsorship, endorsement, affiliation, certification, or partnership unless expressly stated.

9. Disclaimer of Warranties

The Templates are provided "AS IS," with all faults and without guarantees except as expressly required by applicable law. They are designed for broad compatibility with major print-on-demand providers and are configured around commonly used phone-case design dimensions and production-layout conventions. However, provider specifications, design tools, file-processing systems, materials, tolerances, and production requirements may vary, and Your production workflow is outside EZFILEPRO, LLC's control.

The Templates are intended to help You prepare a print-ready design file for upload to Your selected provider. They do not guarantee any particular print result, physical fit, alignment, color output, acceptance by a provider, or production outcome. You are solely responsible for reviewing each design within Your provider's design tool, confirming that the file meets that provider's current requirements, and verifying the final output, including by ordering and approving a test print or sample before any production run.

Except as expressly stated in this Agreement, EZFILEPRO, LLC makes no warranties, representations, or guarantees regarding the Templates, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, or uninterrupted availability. Nothing in this Section limits any rights that cannot be limited or excluded under applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR PRODUCTION, PRINTING, SHIPPING, REPLACEMENT, REFUND, RECALL, OR THIRD-PARTY PROVIDER COSTS ARISING OUT OF OR RELATING TO THE TEMPLATES OR THIS AGREEMENT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR TEMPLATE, ORDER, OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

11. Digital Delivery, Refunds, and Withdrawal Rights

The Templates are supplied as digital content through electronic delivery as instant downloads. Where applicable law provides a cancellation or withdrawal period, You expressly request and consent to delivery beginning immediately after purchase and acknowledge that, once delivery or access to the digital content begins, You may lose Your statutory right to cancel or withdraw, including the 14-day right of withdrawal under EU and UK consumer law.

Except where required by applicable law or expressly stated in our Returns & Refunds Policy, all sales are final once Your download has been made available. Nothing in this Agreement excludes or limits rights relating to digital content that is faulty, corrupted, materially misdescribed, or otherwise nonconforming under applicable law. If a Template does not function as described, contact support@eztemplatepro.com and we will provide a corrected or replacement file.

12. Term and Termination

This Agreement is effective until terminated. It may terminate automatically upon a material breach of its terms, in particular the restrictions in Section 5. Where the breach is capable of cure, Licensor may provide a reasonable opportunity to cure, but no cure period is required for intentional redistribution, sublicensing, infringement, or unauthorized disclosure of the Templates. Upon termination, You must cease all use of the Templates and delete all copies in Your possession or control. Unauthorized removal or alteration of copyright-management information may violate 17 U.S.C. § 1202 and other applicable laws, particularly where undertaken with knowledge or intent to induce, enable, facilitate, or conceal infringement.

13. Remedies

Unauthorized redistribution, disclosure, or commercial exploitation of the Templates may cause irreparable harm for which monetary damages may be inadequate. Licensor may seek injunctive or equitable relief, in addition to any other remedies available at law.

14. Governing Law, Jurisdiction, and Consumer Rights

14.1 This Agreement is governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict-of-laws principles.

14.2 Subject to any mandatory consumer rights, the state and federal courts located in Washington County, Oregon will have exclusive jurisdiction over disputes arising from or relating to this Agreement, and each party consents to personal jurisdiction and venue in those courts.

14.3 If You are a consumer, nothing in this Agreement deprives You of any mandatory consumer protection afforded by the laws of the jurisdiction in which You ordinarily reside that cannot lawfully be waived by contract.

15. Assignment

You may not assign, transfer, delegate, or otherwise dispose of this Agreement or any license rights without Licensor's prior written consent. Licensor may assign this Agreement in connection with a merger, reorganization, asset sale, or transfer of the EZTemplatePro business.

16. Severability and No Waiver

16.1 If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

16.2 A failure or delay by Licensor in enforcing any provision of this Agreement does not waive its right to enforce that or any other provision later.

17. Survival

The provisions concerning restrictions, customer content, intellectual property and ownership, disclaimers, limitation of liability, remedies, governing law, and any provisions that by their nature should survive will survive termination of this Agreement.

18. Entire Agreement and Order of Precedence

This Agreement, together with the Terms of Service and the Returns & Refunds Policy published at eztemplatepro.com, constitutes the entire agreement between You and Licensor regarding the Templates and supersedes any prior understanding. If this Agreement conflicts with a product listing or the general Terms of Service concerning the permitted use of a Template, this Agreement controls regarding the Template license.
